Corporate Structure The corporate structure consists of major operating companies, such as Sovintel and Golden Telecom Ukraine. The Company conducts its business in Russia and the CIS through a network of affiliated or controlled structures. The branches of the Company and the leading regional joint ventures are situated in St. Petersburg, Krasnoyarsk, Ekaterinburg, Samara, Voronezh, Nizhny Novgorod, Archangelsk, Khabarovsk, Irkutsk, Ufa, Kaliningrad, Krasnodar, Novosibirsk, Volgograd, Vladivostok, Tyumen, Syktyvkar, Novorossiysk, Cheboksary, Tula, Gelendzhik, Kemerovo, Kazan, Sochi, Nakhodka and Sakhalin. Through agents and distributors, the Company also offers service in Azerbaijan, Belarus and Georgia, and operates through subsidiaries in Kazakhstan and Uzbekistan. Sovintel Sovintel was established in 1990 as a competitive local exchange carrier in Moscow in the form of a 50/50 joint venture between the former parent company of Golden Telecom, Global TeleSystems,Inc. (GTS) and the Main Center for Management of Long-Distance Communications of USSR (GTsUMS). GTsUMS subsequently became part of Rostelecom - the Russian national long distance carrier. From its early days, Sovintel was positioned as a superior voice service provider with a focus on the high end of the corporate market. Sovintel expanded quickly and established a strong blue chip customer base and a stellar reputation for customer service. GTS’ holding in Sovintel was transferred to Golden Telecom, Inc. as part of the Golden Telecom IPO in 1999. In September 2002, Golden Telecom bought the remaining 50% of Sovintel from Rostelecom. In December 2003, Golden Telecom acquired Comincom, together with its 100%-owned subsidiary, Combellga. Comincom and Combellga provided telecommunications services principally to major hotels, business offices and mobile communication companies through its telecommunications network in Russia, including Moscow, St. Petersburg, Voronezh, Samara and several other major population centers. In December 2004, Comincom and Combellga were fully legally and operationally merged into Sovintel. Golden Telecom (Ukraine) Golden Telecom (Ukraine) commenced service in 1997 as a competitive local exchange carrier in Kiev and as a provider of mobile services. Today, Golden Telecom (Ukraine) is a leading provider to corporate customers in Kiev and has a substantial presence in major regional centers of Ukraine. |
